Terms of Service

1. Agreement and operator

These Terms of Service (the “Terms”) are an agreement between you and Road Mesh (“Road Mesh,” “we,” “us,” or “our”), the supplier and licensor of the Road Mesh software and services at roadmesh.app (collectively, the “Service”). Polar Software, Inc. (“Polar”) acts as merchant of record and authorized reseller for self-service paid purchases. The supplier shown in Polar Checkout and your order confirmation is the licensor of Road Mesh under these Terms.

By creating an account, using the Service, or accepting these Terms during checkout, you agree to be bound by them. If you use the Service for an organization, you confirm that you have authority to bind that organization; “you” then includes that organization. If you do not agree, do not use the Service or purchase a paid plan.

2. Eligibility and accounts

You must be legally capable of entering into a binding contract. The Service is intended for professionals and organizations and is not directed to children. You must provide accurate account information, protect your credentials, and promptly notify us of suspected unauthorized access. You are responsible for activity performed through your account unless applicable law provides otherwise.

Workspace owners control membership, roles, projects, and billing for their organization. Administrators and members act on behalf of the workspace within their assigned permissions. An organization is responsible for its users’ compliance with these Terms.

3. The Service and plans

Road Mesh is browser-based software for importing, editing, visualizing, simulating, and analyzing road networks and traffic scenarios. Some features operate locally in your browser and others require an account, cloud storage, third-party data, or a paid entitlement.

Current plan features, usage limits, prices, billing units, and supported regions are described on the Road Mesh pricing page and in checkout. Import-area limits apply to each imported network. We may introduce, remove, or change features as the Service develops, but a material adverse change to a paid plan will be handled as described in section 16.

Enterprise features, service levels, onboarding, custom limits, and support commitments exist only when included in a signed order form or other written agreement. If that agreement conflicts with these Terms, the signed agreement controls for the conflicting subject.

4. License and permitted use

Subject to these Terms and any applicable plan limits, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your own internal professional, educational, evaluation, or planning purposes. Team access may be assigned only to authorized members of the subscribed workspace. No ownership in the Service is transferred to you.

You must not:

• use the Service unlawfully or to infringe another person’s rights;
• sell, sublicense, rent, or provide the Service as a standalone service to third parties;
• circumvent plan limits, access controls, usage controls, or security measures;
• interfere with the Service, introduce malicious code, probe for vulnerabilities without authorization, or overload an API or third-party data source;
• reverse engineer or extract source code except to the limited extent that applicable law expressly permits and does not allow that restriction; or
• use automated access in a way that violates published documentation, rate limits, or third-party terms.

5. Your projects and data

As between you and Road Mesh, you retain ownership of road networks, project files, configurations, imported materials, simulations, and other content that you create or submit (“Customer Content”). You grant us a worldwide, non-exclusive, royalty-free license to host, copy, transmit, transform, and otherwise process Customer Content only as reasonably necessary to provide, secure, maintain, support, and improve the Service, comply with law, and enforce these Terms.

You represent that you have the rights and permissions needed for Customer Content and its processing. You must not upload unlawful material, personal data that you are not permitted to process, or confidential material unless your use of the Service and our agreed safeguards are appropriate for it.

Local projects remain under your control in your browser or local files. Cloud features require transmission and storage by our service providers. You should maintain appropriate exports or backups. Following a downgrade or subscription expiry, paid cloud operations may become unavailable or read-only; we will not deliberately delete retained project data merely because of a downgrade without providing notice or as otherwise permitted by these Terms.

6. Paid subscriptions and billing

Self-service paid plans are purchased from Polar. Polar handles checkout, payment methods, invoices, applicable transaction taxes, refunds, and payment disputes under the Polar Buyer Terms. Your license and use of Road Mesh remain governed by these Terms.

Paid subscriptions renew automatically each month until cancelled. The price, renewal frequency, included features, and any applicable taxes are shown before purchase. By completing checkout, you authorize Polar to charge your payment method on a recurring basis until cancellation. Price changes apply no earlier than the next renewal after legally required notice.

Team is billed per licensed seat with a two-seat minimum and a ten-seat self-service maximum unless a signed contract says otherwise. Active members and, where the product indicates, pending invitations may consume capacity. Adding or enabling members can increase the licensed quantity and cause an immediate prorated charge; removing or disabling members may reduce future charges according to the billing provider’s proration rules. The workspace owner authorizes these seat-related adjustments.

7. Cancellation, refunds, and consumer rights

You may cancel through the Road Mesh billing controls, the Polar customer portal, or another method made available by Polar. Cancellation normally takes effect at the end of the current billing period, and paid access continues until then. Except where required by law or expressly stated at purchase, elapsed billing periods are not refundable.

If you are a consumer, nothing in these Terms excludes or limits mandatory rights available under the laws of your country. This may include a right to withdraw from a distance contract within 14 days. If you request immediate provision during a withdrawal period, you may be required to pay for the portion supplied before withdrawal, and a right of withdrawal may end where the law permits and you have given the required express consent and acknowledgement. Direct billing, refund, and withdrawal requests to Polar through its customer portal or support channel, and copy us where the request concerns the Road Mesh Service.

8. Third-party services and open data

The Service relies on third-party infrastructure and data sources, which may include Polar, Supabase, OpenStreetMap, Overpass API instances, and public or commercial traffic-data providers. Their availability, coverage, accuracy, licensing, and terms are outside our control. A source may change, delay, restrict, charge for, or discontinue access. We may modify or remove an integration in response.

OpenStreetMap data is provided under the Open Data Commons Open Database License and requires attribution. When using or sharing data or outputs derived from OpenStreetMap, you must preserve any attribution and license notices supplied by Road Mesh and comply with the applicable OpenStreetMap terms. You are responsible for any separate rights needed for GIS, CAD, LandXML, traffic, imagery, or other data that you import.

10. Availability, support, and changes

We aim to operate the Service reliably but do not promise uninterrupted or error-free availability unless a signed service level agreement expressly says so. We may perform maintenance, address security risks, comply with law, or change technical requirements. Internet access, compatible hardware, a supported browser, and WebGL capability are your responsibility.

Support levels vary by plan. Timelines, uptime commitments, onboarding, and remedies apply only if explicitly stated in a plan or signed agreement.

11. Intellectual property and feedback

Road Mesh and its licensors retain all rights in the Service, including its software, interface, documentation, branding, and underlying technology, excluding Customer Content and third-party materials. If you voluntarily provide feedback, you grant us a perpetual, worldwide, royalty-free right to use it without an obligation to compensate you, provided we do not publicly identify you without permission.

12. Suspension and termination

You may stop using the Service at any time and may request account deletion through available account controls. We may suspend or terminate access where reasonably necessary for a material breach, non-payment, security risk, fraud, unlawful conduct, harm to the Service or others, or a legal requirement. Where practicable, we will provide notice and a reasonable opportunity to cure a remediable breach.

On termination, your license ends and paid features cease when the applicable subscription period ends. Provisions that by their nature should survive—including payment obligations, intellectual property, confidentiality, disclaimers, liability, and dispute provisions—remain effective. Data export and deletion are subject to available product controls, legal retention duties, and our privacy notice.

13. Warranties and disclaimers

To the maximum extent permitted by law, the Service is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and results. We do not warrant that third-party data, imported geometry, traffic feeds, simulations, analyses, or exports are complete, current, accurate, or suitable for your intended use. These disclaimers do not limit any warranty or remedy that cannot lawfully be excluded.

14. Limitation of liability

To the maximum extent permitted by law, Road Mesh and its licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive loss, or for lost profits, revenue, goodwill, opportunities, anticipated savings, data, or business interruption, arising from or related to the Service.

For a business customer, our total aggregate liability arising out of or relating to the Service or these Terms will not exceed the amount paid for the affected Service during the 12 months immediately before the event giving rise to the claim. For free business use, that cap is USD 100. These exclusions and limits do not apply to fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, breach of mandatory data-protection obligations, or any liability that cannot lawfully be excluded or limited. Mandatory consumer remedies remain unaffected.

15. Business-customer indemnity

If you use the Service as a business, you will defend and indemnify Road Mesh against third-party claims, damages, and reasonable costs arising from Customer Content, your unlawful or unauthorized use of the Service, or your material breach of sections 4 or 5, except to the extent caused by Road Mesh. This section does not apply to consumers acting outside their trade, business, craft, or profession.

16. Changes to these Terms

We may update these Terms to reflect Service changes, security needs, legal requirements, or business practices. The current version and effective date will be published here. We will give reasonable advance notice of a material change that adversely affects an active paid subscription and request renewed consent where required by law. If you do not agree, you may cancel before the change takes effect. Changes do not retroactively reduce accrued rights or mandatory consumer protections.

17. Governing law and disputes

These Terms are governed by the laws of Iceland, without regard to conflict-of-law rules. Courts in Iceland have jurisdiction, except that a consumer may bring a claim in, and retain mandatory protections of, the country where they habitually reside when applicable law provides that right. Before filing a formal claim, each party should give the other written notice and a reasonable opportunity to resolve the dispute informally.

18. General

If part of these Terms is unenforceable, it will be limited or removed only to the minimum extent necessary and the remainder will continue in effect. A failure to enforce a provision is not a waiver. You may not assign these Terms without our consent, except as part of a genuine corporate reorganization or sale of substantially all relevant assets and subject to written notice. We may assign them in connection with a merger, reorganization, financing, or sale of the Service. Neither party is liable for a delay caused by events beyond reasonable control, except for payment obligations.

These Terms, the plan and checkout disclosures, Polar’s buyer terms for payment and resale, and any signed order form make up the agreement for the Service. Headings are for convenience and do not affect interpretation.
